Welcome to SudsyCRM (“SudsyCRM,” “Company,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the SudsyCRM platform, website, software, applications, communication tools, integrations, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering binding agreements to use the Services.

By using the Services, you represent and warrant that:

  • You have authority to bind yourself or the entity you represent

  • All information provided is accurate and current

  • Your use of the Services complies with applicable laws and regulations

2. Services Provided

SudsyCRM provides customer relationship management (“CRM”) tools and related business software, which may include:

  • Customer management

  • Scheduling and bookings

  • Messaging and communication tools

  • Email and SMS automation

  • Payment integrations

  • Pipeline management

  • Marketing tools

  • Reporting and analytics

  • AI-powered features

  • Third-party integrations

We reserve the right to modify, suspend, limit, or discontinue any aspect of the Services at any time without liability.

3. User Accounts

You are responsible for:

  • Maintaining the confidentiality of account credentials

  • Restricting access to your account

  • All activity occurring under your account

  • Promptly notifying us of unauthorized access or security concerns

SudsyCRM is not liable for losses resulting from unauthorized use of your account.

We reserve the right to suspend or terminate accounts at our sole discretion.

4. Acceptable Use

You agree not to:

  • Violate applicable laws or regulations

  • Use the Services for unlawful, deceptive, fraudulent, or abusive purposes

  • Send spam, unauthorized marketing, or unsolicited communications

  • Upload malicious code, malware, or harmful content

  • Attempt unauthorized access to systems or data

  • Interfere with platform functionality or security

  • Reverse engineer, copy, resell, or exploit the Services without authorization

  • Infringe intellectual property or privacy rights

  • Use the platform for prohibited industries or activities where restricted by law

SudsyCRM may investigate violations and take action including suspension, termination, reporting to authorities, or legal action.

5. Communication Compliance

Users utilizing communication features through the Services are solely responsible for complying with:

  • TCPA

  • CAN-SPAM

  • CASL

  • A2P messaging regulations

  • Carrier policies

  • Consent and opt-in requirements

  • Applicable regional communication laws

Users are responsible for obtaining proper consent before sending communications.

SudsyCRM does not assume liability for user messaging campaigns, customer lists, opt-in practices, or communication content.

6. Fees & Payments

Certain Services may require paid subscriptions or fees.

By purchasing Services, you agree:

  • To pay all applicable fees and taxes

  • That fees may recur automatically unless cancelled

  • That payments may be processed by third-party providers

  • That failure to pay may result in suspension or termination

Unless otherwise stated:

  • Fees are non-refundable

  • Partial billing periods are not prorated

  • Pricing may change at any time with reasonable notice

7. Third-Party Services

The Services may integrate with third-party platforms, providers, or applications.

SudsyCRM does not control and is not responsible for:

  • Third-party functionality

  • Availability

  • Security

  • Data practices

  • Downtime

  • Policy changes

  • Service interruptions

Your use of third-party services is governed by their own terms and policies.

8. User Content & Data

You retain ownership of content and data you upload to the Services (“User Content”).

You grant SudsyCRM a worldwide, non-exclusive, royalty-free license to host, process, transmit, and use User Content solely for:

  • Providing the Services

  • Improving functionality

  • Security and maintenance

  • Legal compliance

You represent and warrant that:

  • You have rights to all uploaded content

  • Your data collection and processing are lawful

  • Your use does not violate third-party rights

SudsyCRM is not responsible for User Content or customer data processed through the platform.

9. Data & Security Disclaimer

While SudsyCRM implements commercially reasonable safeguards, you acknowledge that:

  • No system is fully secure

  • Internet transmissions carry inherent risks

  • Data breaches, outages, or unauthorized access may occur

SudsyCRM does not guarantee:

  • Uninterrupted service

  • Absolute security

  • Error-free operation

  • Data recovery

Users are responsible for maintaining backups and safeguarding their systems.

10. AI Features Disclaimer

Certain Services may include AI-generated content, automation, or recommendations.

AI-generated outputs:

  • May contain inaccuracies

  • Should be independently reviewed

  • Are provided without warranty

  • Should not be solely relied upon for legal, financial, medical, or business-critical decisions

SudsyCRM disclaims liability arising from AI-generated content or automated actions.

11. Intellectual Property

All rights, title, and interest in the Services, including software, branding, design, content, and technology, are owned by or licensed to SudsyCRM and protected by intellectual property laws.

Except as expressly permitted, you may not:

  • Copy

  • Modify

  • Distribute

  • Reverse engineer

  • Reproduce

  • Resell

  • Create derivative works

Unauthorized use may result in legal action.

12. Suspension & Termination

SudsyCRM may suspend or terminate access immediately, with or without notice, for:

  • Violations of these Terms

  • Non-payment

  • Suspected fraud or abuse

  • Security risks

  • Legal or regulatory concerns

  • Activities that may harm SudsyCRM or others

Upon termination:

  • Access rights immediately cease

  • Certain data may be deleted

  • Some provisions of these Terms survive termination

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

SUDSYCRM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY

  • RELIABILITY

  • SECURITY

  • AVAILABILITY

WE DO NOT GUARANTEE RESULTS, REVENUE, LEAD GENERATION, DELIVERABILITY, OR BUSINESS PERFORMANCE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

SUDSYCRM SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES

  • INCIDENTAL DAMAGES

  • CONSEQUENTIAL DAMAGES

  • LOST PROFITS

  • LOST DATA

  • BUSINESS INTERRUPTION

  • REPUTATIONAL HARM

  • PUNITIVE DAMAGES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SUDSYCRM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions may not allow certain limitations, so portions may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless SudsyCRM, its affiliates, employees, contractors, officers, and partners from claims, liabilities, damages, losses, costs, and expenses arising from:

  • Your use of the Services

  • Violation of these Terms

  • Violation of laws or regulations

  • User Content

  • Unauthorized communications or campaigns

  • Third-party claims related to your activities

16. Compliance Responsibility

Use of the Services does not guarantee compliance with:

  • Privacy laws

  • Marketing laws

  • Industry regulations

  • Government requirements

Users are solely responsible for obtaining independent legal, tax, and regulatory advice regarding their operations and use of the Services.

17. Governing Law

These Terms shall be governed by and construed under the laws of:

  • The Province of Ontario, Canada

  • Applicable federal laws of Canada

You agree that disputes shall be resolved exclusively in courts located in Ontario, unless otherwise required by applicable law.

18. Force Majeure

SudsyCRM shall not be liable for delays or failures resulting from causes beyond reasonable control, including:

  • Internet outages

  • Cyberattacks

  • Government actions

  • Natural disasters

  • Labor disputes

  • Infrastructure failures

  • Third-party service disruptions

19. Changes to Terms

We may update or modify these Terms at any time without prior notice.

Updated Terms will be posted at:

Continued use of the Services constitutes acceptance of revised Terms.
